** Placifor Investment Corporation is a discretionary trust, of which Mr Selwyn Lewis, is one of four beneficiaries (the other three being his children) whose Trustees are Trident Trust Company (IOM) Limited.

Warrants and Options

On 23 September 2020, the Company entered into a warrant instrument pursuant to which the Company will constitute warrants to subscribe for up to 100,000,000 Ordinary Shares at a price of 1.5 pence per share. The Warrants will be issued to Placees and Subscribers on a one for one basis and are non-transferable. The subscription rights under the Warrants must be exercised within two years of the issue of the Warrants (being the date of Admission).

On 23 September 2020, the Company also entered into a warrant deed with Hybridan pursuant to which the Company issued warrants to Hybridan to subscribe for 1,622,400 Ordinary Shares a £0.025 per share. 

 

 

 

 

 

The subscription rights are exercisable at any time from the date falling two months after Admission to the fifth anniversary of Admission.

The amount is 101,622,400 Warrants in total. The exact dilution percentage cannot be worked out as they may be further issues of shares before all the warrants are exercised. If they were all to be exercised before any further issue of shares, the percentage of immediate dilution would be 25%.

On 7 October 2022 the Company extended the warrant exercise period by 18 months to 21 April 2024 and decreased the warrant exercise price to £0.03 per share.

On the 28 March 2024 the Company further extended the warrant exercise period by 24 months to 20 April 2026 and decreased the warrant price to £0.015 per share.

As at 31st December 2022 there were also 27,250,000 staff options with an exercise price of 1 penny. As of that date and based upon the performance conditions attributable to the options, 3,500,000 could be exercised.
